Abstract:
Many businesses are managed through legally independent entities with limited liability. In a company group, these legally independent entities are layered on top of each other establishing a group structure managing a business in a centralised way. Where a single company approaches the state of insolvency, it has access to a number of instruments to act upon its financial distress. For example, in order to prevent liquidation and destruction of the company by ensuring its continuity, it may decide to resolve the financial distress by means of corporate restructuring. Cross-Border company group restructurings face many challenges and legal or practical obstacles. My research aims to identify and analyse these challenges.
